Factorial Energy lists on Nasdaq via SPAC at $1.3bn equity value
Factorial Energy has completed its merger with Cartesian Growth Corporation III, a special purpose acquisition company (SPAC), and began trading on Nasdaq under the ticker "FAC" on 8 June 2026. The transaction implies an equity value of approximately $1.3 billion and delivers more than $100 million in gross proceeds to fund commercialisation of the company's solid-state battery platforms across electric vehicles, high-performance drones, and defence and aerospace applications.
The combined entity operates as Factorial Energy Inc. The former SPAC sponsor, Cartesian Growth, anchored the common-equity PIPE — private investment in public equity — component of the transaction. Cantor Fitzgerald served as exclusive financial adviser to Factorial and sole placement agent for the PIPE. The company will ring the Nasdaq opening bell on 17 June 2026.
The technology and the partners
Factorial's commercial proposition rests on two proprietary cell platforms: FEST and Solstice. The company says its approach relies on joint manufacturing partnerships rather than building its own gigafactory, a capital-light model intended to accelerate deployment without the balance-sheet burden of owning production assets outright.
The release points to a series of validation milestones that distinguish Factorial from many solid-state peers still operating at laboratory scale. Mercedes-Benz integrated FEST cells into a lightly modified EQS test vehicle and completed a 1,205 km journey from Stuttgart to Malmö on a single charge in 2025 — a real-world range demonstration the company regards as a key commercial proof point. Stellantis has verified 77 Ah cells in lab testing for energy density, fast-charging and performance across temperature extremes, and a technology milestone was met to unlock a demonstration fleet. A production programme for US passenger vehicles was announced with Karma Automotive in Q1 2026. Strategic investors include In-Q-Tel — the not-for-profit investment arm of the US national security community — alongside Mercedes-Benz, Stellantis, Hyundai, Kia, and materials supplier POSCO Future M.
Market context
Solid-state batteries — cells that replace the liquid electrolyte in conventional lithium-ion packs with a solid material — are widely regarded as the next step-change in energy density and safety for electric vehicles and high-value aerospace applications. The technology has attracted multi-billion-dollar commitments from Toyota, Samsung SDI, QuantumScape and several Chinese manufacturers, but commercial-scale production remains elusive for most players. The central challenge is manufacturing yield: solid electrolyte layers must be deposited at scale without defects, at a cost that does not price the cell out of the target market.
Factorial's capital-light joint-manufacturing model is a deliberate hedge against this risk — partnering with established cell manufacturers rather than replicating the vertical integration strategies of larger incumbents. Whether that model can deliver production volumes acceptable to a tier-one automotive OEM remains to be demonstrated; the Karma Automotive programme, though significant as the first US solid-state passenger-vehicle production agreement, involves a relatively niche vehicle maker. Investor attention will fall on whether Mercedes-Benz or Stellantis convert their validation activities into supply agreements with committed volume and pricing.
The defence and drone angle is commercially significant beyond the automotive story. In-Q-Tel's backing signals US government interest in domestically sourced, high-energy-density cells for unmanned systems — a market that is less price-sensitive than automotive and potentially faster-moving to procurement decisions.
Policy and capital path
US battery manufacturing benefits from the Inflation Reduction Act's 45X advanced-manufacturing production credit, which rewards domestic cell and module production on a per-kilowatt-hour basis. Solid-state cells would qualify if produced in the United States, giving Factorial an incentive to ensure any joint-manufacturing arrangements include domestic content. The company did not specify the tax-credit profile of its commercialisation programme in this release.
The $1.3 billion implied valuation is notable in a period when SPAC transactions have faced significant investor scepticism; many de-SPAC deals in the clean-energy and mobility space have traded well below their implied merger valuations post-listing. Factorial's near-term milestones — a named volume supply agreement with a major OEM, a disclosed production ramp timeline, and a path to revenue — will determine whether the public market holds that valuation.
