newcleo clears SPAC vote, set for Nasdaq debut as NWCL

newcleo, a UK-registered nuclear technology company developing advanced modular reactors (AMRs) and recycled nuclear fuel, began trading on the Nasdaq Global Select Market on 22 September 2026, under the ticker symbols "NWCL" for ordinary shares and "NWCLW" for warrants. The listing comes via a business combination with NewHold Investment Corp III, a special-purpose acquisition company.

The company did not disclose gross proceeds from the transaction in its listing announcement, nor did it reveal institutional investor commitments or a post-transaction valuation. The release describes the listing as providing capital to progress a 10 MWth (megawatt-thermal) non-nuclear demonstrator in Italy, advance regulatory and licensing work with US and French nuclear safety authorities, and pursue commercial deployment of reactors and fuel-manufacturing facilities in Europe and the United States.

The technology

newcleo's core proposition is a lead-cooled fast reactor (LFR) paired with mixed-oxide fuel manufactured from recycled nuclear materials. Lead cooling is a less commercially mature approach than light-water or molten-salt designs, but its advocates argue it offers passive safety characteristics and higher operating temperatures useful for industrial heat supply. The company describes its strategy as vertically integrated: designing the reactor, manufacturing the fuel, and operating a closed nuclear fuel cycle, meaning spent fuel from one generation of reactors can be reprocessed into fuel for the next.

The company employs more than 900 people across Europe and the United States and has not yet produced commercial reactor output. Chief executive Stefano Buono said the Nasdaq listing gives newcleo "the capital and the platform to accelerate deployment" across its target markets, though no timeline for first commercial power was given in the release.

Market context

newcleo enters the public markets at a moment of renewed institutional interest in advanced nuclear. Several AMR and small modular reactor (SMR) developers have attracted significant private capital over the past two years, including deals backed by sovereign wealth funds, hyperscaler offtake agreements, and government loan guarantees in both the US and UK. The distinction between AMRs and the more widely discussed SMRs matters: SMR designs such as those from NuScale and Rolls-Royce SMR are broadly light-water reactors scaled down for modular fabrication, while AMRs such as newcleo's LFR use alternative coolants and often different fuel cycles. Both categories face the same commercial bottleneck: securing regulatory approval in jurisdictions where nuclear licensing timelines routinely run to a decade or more.

The policy backdrop is supportive in broad terms. The US Inflation Reduction Act's production tax credits for advanced nuclear (the 45U credit) are designed to underwrite the economics of new reactor output, and both the US and EU have signalled nuclear as a component of long-term clean-power strategies. France, where newcleo is pursuing licensing interactions, has pivoted firmly back toward nuclear expansion.

Capital and licensing path

For investors, the near-term milestones are the completion of the Italian demonstrator, formal licensing submissions in France and the US, and any named offtake or fuel-supply agreements. The SPAC route to public markets has enabled several pre-revenue deep-technology companies to access capital before commercial operations begin, though it has also attracted scrutiny from regulators over disclosure standards and dilution from warrant structures.

newcleo has not disclosed a revenue forecast, a capital-expenditure budget for its first commercial reactor, or a contracted customer, making the investment case dependent largely on technology progress and regulatory timelines.
