ProLogium to list on Nasdaq via SPAC merger at $3.8bn valuation
ProLogium Holding, a Taiwanese developer and manufacturer of solid-state batteries, has agreed a business combination with Translational Development Acquisition Corp. (TDAC), a Nasdaq-listed special purpose acquisition company (SPAC), that would value the combined entity at approximately $3.8 billion on a pre-money, net cash-free basis. The merged company, to be renamed ProLogium Technology and listed under the ticker "PRLG", is expected to begin trading in the second half of 2026, subject to shareholder and regulatory approvals.
Proceeds from the transaction — drawn from TDAC's cash in trust and a targeted common equity private investment in public equity (PIPE) raise — are earmarked for two priorities: scaling production of the company's fourth-generation solid-state battery at its existing gigafactory in Taoyuan, Taiwan, and advancing construction of a new gigafactory in Dunkirk, France. The French facility has received an approved subsidy package of up to approximately €1.4 billion from the French government. The Dunkirk plant is expected to begin production ramp-up between late 2028 and early 2029, with formal mass deliveries targeted for the second quarter of 2029.
The technology
ProLogium's core product is what it calls a lithium ceramic battery (LCB), using an all-inorganic, superfluidized solid-state electrolyte in place of the liquid or gel electrolytes found in conventional lithium-ion cells. The company says the architecture eliminates thermal runaway — the chain-reaction overheating that underlies most high-profile battery fires — and that independent testing by TÜV Rheinland recorded an energy density of 360 Wh/kg, a figure it claims is more than 50% above that of conventional cells. Safety certification body UL Solutions reportedly confirmed zero thermal runaway under standardised Heat-Wait-Seek testing. These figures are vendor-cited and have not been independently assessed by this publication.
Founded in 2006 and claiming commercial-scale manufacturing since 2013, ProLogium says it has shipped more than 2.4 million battery cells in total, of which over 800,000 are its third-generation product from the Taiwan gigafactory. The company holds more than 1,100 granted and pending global patents.
Market context
Solid-state batteries have been positioned as the successor to conventional lithium-ion cells for more than a decade, promising higher energy density, improved safety and longer cycle life. Commercial scale has, however, proved elusive: most incumbent cell makers and well-funded startups are still in pilot or pre-production stages for automotive-grade solid-state product. ProLogium's claim to be the only company publicly demonstrating a solid-state mass-production line is a meaningful differentiator if substantiated, though the battery market's history of overstated commercialisation timelines warrants caution.
The SPAC route to public markets reflects a broader pattern in capital-intensive deep-tech: a direct listing or traditional IPO is harder to execute for companies with long lead times to revenue at scale, while a SPAC merger allows a pre-negotiated valuation and a faster path to public capital. SPAC vehicle performance post-merger has been mixed across the energy-transition sector, and investors will watch the PIPE terms and redemption rate as signals of institutional conviction.
Beyond electric vehicles (EVs) — its original target market — ProLogium is positioning the fourth-generation cell for artificial-intelligence data centres, aerospace, robotics and defence, reflecting a broader industry shift as battery developers seek diversified offtake outside the increasingly competitive automotive supply chain.
Policy path
The Dunkirk facility sits within the EU's strategic push to build a domestic battery supply chain, reducing dependence on Asian cell makers. The French state subsidy package aligns with EU state-aid frameworks for strategic industries, though the final disbursement conditions and tranches were not disclosed in the release. European battery gigafactory projects have faced construction delays and cost overruns; the 2029 production target will be a key milestone for investors tracking capital deployment against the approved subsidy.
The transaction documents, including an SEC Form F-4 registration statement and TDAC proxy, are expected to be filed in the coming weeks and will contain fuller financial disclosure on the PIPE terms, use of proceeds and projected financials.
