Fusion Fuel targets uranium royalty via planned Royal Uranium deal

Fusion Fuel expects its acquisition of Royal Uranium to provide a 1.0% NSR royalty over an early-stage Argentine uranium-copper-vanadium project.

Fusion Fuel Green (NASDAQ: HTOO), an Irish-listed energy engineering and advisory business, has highlighted exploration activity at the Huemul Uranium-Copper-Vanadium Project in Mendoza Province, Argentina — a site in which it expects indirect royalty exposure following its planned acquisition of a controlling interest in Royal Uranium Inc., a private energy royalty vehicle. Under that deal, Fusion Fuel would inherit what it believes to be a 1.0% net smelter return (NSR) royalty interest held by Royal Uranium over the 27,350-hectare Huemul project.

The underlying exploration work is being carried out by Jaguar Uranium Corp., a separate company. Jaguar reported on 2 June 2026 that a recent field campaign observed visible uranium, copper and vanadium mineralisation at surface, identified a potential four-kilometre copper trend at a zone called Uryco, and collected 200 rock samples now submitted for laboratory assay. It also noted that historic mine dumps — material left over from the site's operational period between 1955 and 1975, when Huemul was Argentina's first producing uranium mine — had been sampled for the first time. Assay results remain pending, and Jaguar explicitly cautioned that visual observations are qualitative, that historical head grades of approximately 0.21% uranium, 2.0% copper and 0.11% vanadium have not been independently verified, and that no conclusions about grade, continuity or economic potential can be drawn at this stage.

What Fusion Fuel is actually buying

Fusion Fuel's exposure to Huemul is indirect and contingent. The company entered a Share Exchange Agreement dated 18 February 2026 to acquire a controlling stake in Royal Uranium; that transaction has not yet closed and remains subject to shareholder approval and other conditions. Royal Uranium is described as holding a portfolio of uranium and natural gas royalties in the Americas. The NSR structure — under which a royalty holder receives a percentage of revenue from future mineral production, net of certain deductions, without contributing to exploration or operating costs — is a capital-light model widely used in metals and mining finance. Fusion Fuel is positioning itself as a diversified energy commodity royalty platform, a strategy it describes as providing exposure to uranium and natural gas without operational risk.

Market context

Uranium has attracted renewed investor interest as nuclear power returns to policy favour in both the United States and Europe. The energy transition has brought nuclear back into decarbonisation planning frameworks, driving uranium spot prices higher from multi-year lows and spurring a wave of junior exploration and royalty vehicles. Critical minerals policy has added a further tailwind: Jaguar cited the US-Argentina Critical Minerals Framework and a 2026 collaboration agreement with Mendoza Province as supportive context for the Huemul project.

Royalty companies have become a preferred vehicle for capital-efficient exposure to commodity exploration: by owning a revenue slice rather than an operating asset, they avoid the capex, permitting and operational risk that weighs on pure-play miners. However, royalty value is ultimately contingent on the underlying project reaching production — a long and uncertain path from a 200-sample surface programme.

Caveats for investors

The release carries a substantial number of forward-looking qualifications. Fusion Fuel has not independently verified Jaguar's observations, and the Huemul project remains at an early exploration stage with no current mineral resource or reserve estimate. The acquisition of Royal Uranium itself is not yet complete. Chief executive Frederico Figueira de Chaves described the Huemul findings as "early-stage and subject to laboratory verification" while arguing that they illustrate the type of critical-minerals royalty exposure Fusion Fuel is seeking.

The key near-term milestones are the receipt of assay results from Jaguar's 200-sample programme, completion of the Royal Uranium share exchange, and any Jaguar update confirming whether the potential copper trend at Uryco has geological substance.
