LiqTech International prices $20m public offering for growth
LiqTech International (NASDAQ: LIQT), a Denmark-based manufacturer of silicon carbide (SiC) ceramic membrane filtration systems, has priced an underwritten public offering of 20 million shares of common stock at $1.00 per share, raising approximately $20 million in gross proceeds before underwriting costs and commissions. The offering is expected to close on 8 June 2026, subject to customary conditions.
Konik Capital Partners LLC, a division of T.R. Winston & Company, acted as sole book-running manager. The underwriter also holds a 45-day over-allotment option to purchase up to an additional 3 million shares at the same price, which could lift total gross proceeds to approximately $23 million if exercised in full.
Use of proceeds
LiqTech said it intends to apply the net proceeds across four priorities: repaying roughly $4.1 million of outstanding senior notes; investing in business development to accelerate growth in target end markets; funding working capital to support that growth; and covering general corporate activities. The company did not identify specific commercial targets, new customer contracts, or geographic expansion plans in the release.
The offering was made pursuant to a Form S-1 registration statement declared effective by the US Securities and Exchange Commission on 1 June 2026.

LiqTech's core product — SiC ceramic membranes — is positioned in a niche but growing segment of industrial water and liquid treatment. SiC membranes offer high chemical and thermal resistance compared with polymeric alternatives, making them suitable for demanding applications including marine scrubber water treatment, commercial pool filtration, oil-and-gas produced-water treatment, and industrial and municipal water systems.
